In 2018, we were engaged by CPC Machines USA to consult new M&A deal with prominent investor in the field of the growing automobile sector in Bulgaria. In order to execute the deal, CPC made a new special purpose vehicle. The goal was to separete all assets required for the new project, e.g. future factory. Our advice included the structuring of the deal and the draft of the share-purchase agreement and the shareholders agreement. We actively participated in the negotiations between the parties and navigated our client in the process. We advised on an operational agreement and a set of business agreements.
