As part of the representation of the buyers in an M&A deal our team consult the client on all IP and technological aspects of the deal. The main focus was the hosting services, domains and websites used by the seller pursuant a licensing agreement. We advised the client on the structure of the agreements redistributing email accounts under the existing hosting agreement. Our team was essential part of the negotiations and draft of the share purchase agreement with specific undertakings and guarantees regarding the hosting, domain and website matters.
