Our client, a prominent manufacturer of specialized building elements engaged the Law Firm in a new business endeavour in the real estate and construction sector. Upon final completion of the negotiations and exact definition of the scope of the deal, we had to execute the memorandum for understanding which included all relevant conditions for conclusion of the deal. The arrangement included execution of an in-kind contribution of the land plots which were the subject of the deal as well as preparation of the share-purchase agreement required for the transfer of property. Our legal team handled the preparation of the documents required above as well as drafted the escrow account agreement where the sale price was transferred upon conclusion of the memorandum of understanding. The challenges here arose from the specific scope of the deal and the fact that our client wished to be fully secured that his specific investment plan is possible to be execute.
